Terms of Service

1. Who this agreement is between

These Terms govern the use of SheepERP ("the Service"), operated by SheepByte AI Tech ("we", "us"), by the educational institution that has been provisioned an account ("the School").

The Service is not available by public self-signup. A School account is created only by our platform administrators, following a commercial arrangement with the School. An individual — a principal, a teacher, an accountant or a parent — uses the Service under the School's account and not under a separate agreement of their own.

The person who accepts these Terms on the School's behalf confirms that they are authorised by the School to do so. That acceptance is recorded, with the identity of the person accepting and the version of each document accepted.

2. Accounts, access and credentials

Each account belongs to one named individual and must not be shared. Every account issued with a temporary credential is required to replace it at first sign-in.

• The School is responsible for the accounts it creates for its own staff, and for removing access when a person leaves.
• The School must tell us promptly if it believes an account has been compromised.
• We may suspend an individual account, without notice, where we have reasonable grounds to believe it is being used to attack the Service or to access records the holder has no role-based right to see.

3. Demonstration access

A School may be given demonstration access for a fixed period so that it can evaluate the Service with its own data. Demonstration access carries the full functionality of the plan it is scoped to and ends on the date shown in the School's own administration screens.

When demonstration access ends without a paid subscription, the School's account moves to a restricted state. The School continues to be able to sign in and to read and export its records; operational functions that create or change records are withheld until a subscription is active. We do not delete a School's data because a demonstration lapsed.

4. Subscriptions, fees and taxes

A subscription is charged as a flat fee for the plan the School is on, billed monthly or yearly as selected. The plan determines which modules are available to the School.

• Fees are stated in Indian Rupees and are exclusive of applicable taxes unless stated otherwise.
• Payment may be made online through our payment processor or by an offline method agreed with us; an offline payment is recorded against the School's account by our platform administrators.
• Access to modules follows the plan that is actually active on the account. A lapsed subscription restricts operational functions in the same way a lapsed demonstration does.

We do not collect school fees from parents through this Service on the School's behalf as part of a subscription. Where fee collection features are used, money movement between a parent and the School is a matter between them.

5. The School's data

Records that the School and its users enter — student, guardian, staff, academic, attendance, financial and communication records — belong to the School. We hold them in order to provide the Service and for no independent purpose of our own.

Where those records include personal data, the School is the Data Fiduciary and we act as its Data Processor. The terms on which we process them are set out in the School Data Processing Addendum, which forms part of this agreement.

We do not sell School data, and we do not use identifiable student data to train machine-learning models.

6. Acceptable use

The School and its users must not:

• upload content that is unlawful, or that they have no right to hold;
• attempt to reach another School's records, or to defeat the role-based restrictions within their own School;
• probe, scan or load-test the Service without our prior written consent;
• resell, sublicense or provide the Service to a third party as if it were their own.

7. Availability and support

We aim to keep the Service available during the School's working hours and to carry out planned maintenance outside them. We do not promise uninterrupted availability, and this document does not create a service-level commitment unless one has been agreed separately in writing.

8. Suspension and termination

• The School may stop using the Service at any time and may request an export of its data.
• We may suspend the account where fees remain unpaid after notice, or where continued use would breach the law or materially endanger the Service or other Schools.
• On termination we make the School's data available for export for a period agreed with the School, and delete it afterwards in accordance with the Data Processing Addendum.

9. Liability

Nothing in this agreement limits liability that cannot lawfully be limited. Subject to that, neither party is liable for indirect or consequential loss, and our aggregate liability arising out of the Service is limited to the fees paid by the School in the twelve months before the event giving rise to the claim.

The School remains responsible for the accuracy of the records it enters, and for decisions it takes on the basis of reports the Service produces from them.

10. Changes to these Terms

Each version of this document carries a version identifier and an effective date, both shown at the top of this page. Where we make a change that alters what a School is agreeing to, we issue a new version and ask the School's administrators to accept it before continuing to use the Service. Records of earlier acceptances are retained.

11. Governing law and contact

This agreement is governed by the laws of India, and the courts of India have jurisdiction over disputes arising from it.
